Strive's SATS IPO: The Treasury Company Trade Is Now a Crowded Beta Play

MoonMoon

Ninety dollars a share. Seven hundred million dollars raised — upsized, which is the only number in the press release that carries real information. The ticker is SATS. The company is Strive. The product, according to the summary, is "Bitcoin-backed securities."

Read that phrase twice, because it does not mean what the retail timeline thinks it means. It does not describe an on-chain instrument, a token, or a protocol. It describes common equity in a corporation whose balance sheet is designed to hold bitcoin. There is no smart contract to audit. There is no sequencer to decentralize. There is a prospectus, a syndicate, and a lockup calendar.

Watch the order book, not the headline. The headline is "investor confidence grows." The order book is a subscription book for shares — and subscription books clear at whatever price the underwriter can place.

To price this event correctly, you have to know what a bitcoin treasury company actually is, because the model is now six years old and most coverage still treats it as novel.

MicroStrategy established the template in 2020: a listed operating company converts its equity into a vehicle for accumulating BTC. The mechanism is not operational. It is balance-sheet arbitrage. When the market prices the shares above the per-share value of the bitcoin the company holds — the multiple known as mNAV — the company can issue new equity at a premium, convert that premium into more bitcoin, and raise the per-share BTC backing. Repeat. The premium is not a bug to be arbitraged away; it is the raw material of the strategy.

Strive enters with two non-financial assets: an anti-ESG asset-management brand and a founder network that includes Vivek Ramaswamy. Based on my own experience structuring cross-border products, that combination is a distribution channel, not a moat. Brand gets you the first $700 million. It does not get you the second.

The arithmetic: $700 million at $90 implies roughly 7.78 million new shares. What it does not tell us is total shares outstanding post-IPO, the precise use of proceeds, the underwriting syndicate, or the lockup schedule. Those are the four numbers that determine whether this is a vehicle or a trap. An S-1 will have them. The press release does not.

Here is the part the "technical analysis" crowd gets wrong. There is no technical layer here. Strive is not a protocol. The correct framework is securities engineering: how the instrument is structured, how it is priced, how the premium is manufactured, and how it unwinds.

Start with the flywheel, because it is the whole thesis.

A treasury company trades at a premium to its bitcoin per share. It issues stock into that premium. It buys BTC with the proceeds. Per-share BTC rises. The market, seeing per-share BTC rise, pays a higher price. The premium expands. The company issues again. This is George Soros's reflexivity rendered in corporate finance — price feeding fundamentals feeding price.

The premium is the product. The bitcoin is inventory. Shareholders are not buying BTC exposure; they are buying a levered position in the market's willingness to pay above net asset value. Those are different risks, and only one of them is priced on the bitcoin chart.

Now the accounting, which almost nobody covers. Under the fair-value regime now applicable to digital assets, treasury holdings are marked to market through the income statement. That means quarterly earnings for a company like Strive will swing violently with BTC price, independent of any operating decision. My 2025 MiCA compliance work forced me to model exactly this kind of mark-to-market pass-through for institutional clients, and the lesson holds: fair-value accounting converts a balance sheet into a volatility amplifier. A 30% BTC drawdown does not just reduce NAV. It prints a loss, compresses the multiple, and — critically — closes the premium window that the flywheel depends on.

Then custody. The BTC behind these shares will sit with a qualified custodian, most likely one of two or three institutional names. That is a concentration risk that does not appear in any price chart. When I structured our fund's custody diversification in 2025, we treated single-custodian exposure above 60% as an automatic governance flag. A treasury company cannot diversify the same way without fragmenting operational control. It is a structural trade-off, not an oversight.

The 2024 ETF experience is the cleanest comparison I have. My team tracked $2.1 billion in net inflows into spot bitcoin products over six weeks and correlated them against declining exchange reserves, then pitched the findings to a Swiss private bank in Zurich. What that work demonstrated is that institutional plumbing changes holder behavior in a measurable way — but only when the vehicle is a pass-through. An ETF is a claim on coins; it has no premium to defend, no issuance incentive, no reflexivity. A treasury company is the opposite: its returns are generated by the gap between its market price and its assets, not by the assets themselves. Confusing the two is the most common error in current coverage.

Scale check, because it matters for the macro read. $700 million is a rounding error against BTC's daily spot volume. If every dollar went into spot bids, the marginal price impact would be statistically invisible. So the bull case cannot be "buy pressure." The bull case is the demonstration effect — more corporates putting BTC on the balance sheet. That is a narrative channel, not a flow channel.

And the sector is full. MSTR holds north of 400,000 BTC and owns the deepest financing channels. Metaplanet owns the Japanese retail bid. Semler Scientific occupies the mid-cap slot. Dozens of 2025 entrants occupy the rest. Strive is a late entrant into a business whose only differentiated input — access to premium-priced equity capital — is being diluted by the number of companies competing for the same premium.

I have seen this exact pattern before. During DeFi Summer 2020, I aggregated Uniswap and SushiSwap pool data and found that 85% of the advertised APY in the pools I audited came from inflationary token emissions, not trading fees. The yield was not yield; it was dilution wearing a yield costume. Treasury-company premiums have the same anatomy. They are not earnings. They are the market's temporary willingness to overpay — and like emissions, they decay as supply of the structure increases.

One more signal worth extracting. An upsized deal means the subscription book was covered above the original target — underwriters do not increase size out of optimism, they do it out of order-book evidence. That is a genuine demand read, and it should be respected. But demand for the instrument at issuance is not demand for the instrument in six months. The two get conflated constantly, and the confusion is expensive.

The consensus framing is that SATS is a levered bitcoin proxy: BTC up, SATS up more. That framing is incomplete in a way that costs money.

A treasury company is better understood as a short-volatility position on its own premium. In a calm, rising market, the premium persists and the flywheel compounds, so the equity outperforms spot. In a falling market, three things happen at once: NAV drops, the multiple compresses, and the premium window closes so the company cannot issue its way out. The stock falls faster than BTC, and the mechanism that created outperformance on the way up accelerates underperformance on the way down. The Davis double-kill is not a tail risk here. It is the base case in any sustained drawdown.

Beta is not a strategy. It is a description of how you will lose money when the underlying turns. The genuinely contrarian conclusion is uncomfortable: the most reliable winners from this IPO are the custodian and the underwriters. They collect fees and assets regardless of whether the premium holds. Shareholders are the residual claimant on a narrative that has already been priced once.

Track three things and ignore the rest: mNAV — the premium to per-share BTC — because its compression is the exit signal; the lockup expiry calendar, typically six to twelve months out, because that is when supply meets a thinner premium; and the quarterly fair-value marks, because they will quantify the reflexivity before the price does. This is late-cycle narrative, not early-cycle structure. When the last treasury company prices its IPO, ask who is left to pay the premium. The answer to that question is the entire trade.
